By accessing and using the Brainfloss Labs platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

3. Service Description

Brainfloss Labs provides a cloud-based virtual lab platform that enables training providers and educational institutions to create, manage, and deliver hands-on technical training through virtual machine environments.

The Service includes:

• Virtual classroom creation and management
• Pre-configured VM templates
• User management and role-based access control
• Automated scheduling and billing
• Usage analytics and reporting

4. Account Registration and Use

4.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Responsibilities

You agree to:

• Provide accurate and truthful registration information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Use the Service only for lawful purposes

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. Acceptable Use

6. Pricing and Payment

6.1 Fees

Service fees are based on usage and the pricing plan selected. All fees are exclusive of applicable taxes unless otherwise stated. Prices are subject to change with 30 days' notice.

6.2 Payment Terms

Payment is due according to your selected billing cycle. We accept payment via credit card, debit card, or bank transfer as agreed. Late payments may result in service suspension.

6.3 Refunds

Fees are non-refundable except as required by law or as expressly stated in your service agreement. We may, at our discretion, provide refunds for unused prepaid services.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy. We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

You retain all rights to your content and data. By using the Service, you grant us a limited license to host, store, and process your data solely to provide the Service.

8. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Brainfloss and protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of all content you upload to the Service. You represent and warrant that you have the necessary rights to upload and use such content.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

9. Service Availability and Support

9.1 Service Level

We strive to maintain 99.9% uptime for the Service. Scheduled maintenance will be communicated in advance. We do not guarantee uninterrupted access to the Service.

9.2 Support

Support is provided via email at labs@brainfloss.com. Response times vary based on your service plan and the nature of the inquiry.

10. Limitation of Liability

To the maximum extent permitted by law, Brainfloss shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from or relating to the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount paid by you to Brainfloss in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under UK law.

11. Warranties and Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

12. Indemnification

You agree to indemnify and hold harmless Brainfloss and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data uploaded to the Service

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

You may terminate your account at any time by contacting us at labs@brainfloss.com. Termination does not entitle you to a refund of prepaid fees.

13.3 Termination by Us

We may suspend or terminate your access to the Service immediately if you breach these Terms or for any other reason at our discretion, with or without notice.

13.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days unless legally required to retain it. You remain liable for all fees incurred prior to termination.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at labs@brainfloss.com. We will attempt to resolve the dispute through good faith negotiations.

17. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, pandemic, government actions, or failures of third-party services.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Brainfloss regarding the Service.
